1. About these terms

These Terms of Service ("Terms") govern your use of the website at tryveritas.co.uk ("Site") and any services provided by Veritas ("we", "us", "our"), including the Shadow Pilot programme. By accessing the Site or using our services, you agree to these Terms.

2. Services

Veritas provides automated KYC/AML compliance checking with structured audit trails for FCA-regulated fintechs in the United Kingdom.

Our primary offering is the Shadow Pilot programme: a 4-week evaluation period where our system runs alongside your existing compliance process. The Shadow Pilot produces a discrepancy report and does not make live approval or rejection decisions affecting your customers.

3. Shadow Pilot terms

3.1 NDA requirement. A mutual non-disclosure agreement must be signed before any data is shared. No applicant or customer data will be transferred until the NDA is fully executed by both parties.

3.2 Data handling. All data shared during the pilot is processed and stored within UK-based infrastructure. Data is encrypted at rest (AES-256) and in transit (TLS 1.3). Access is restricted to authorised personnel only.

3.3 Data retention. All applicant data is permanently deleted within 30 days of the pilot's conclusion unless you provide written authorisation for continued retention.

3.4 No production impact. The Shadow Pilot operates in a read-only, observation mode. It does not send approval or rejection signals to your production systems. It does not interact with your customers.

3.5 Deliverables. At the conclusion of the pilot, you will receive a discrepancy report comparing automated decisions against your team's outcomes, together with a structured audit trail for each check.

4. Fees and payment

Fees for the Shadow Pilot and ongoing services will be agreed in writing before any work begins. All fees are quoted in GBP and are exclusive of VAT unless stated otherwise.

Payment terms are 30 days from the date of invoice unless otherwise agreed.

5. Your responsibilities

You are responsible for:

  • Ensuring you have the legal authority to share applicant data with us under your existing privacy notices and data processing arrangements
  • Providing accurate and complete data in the agreed format
  • Signing the NDA before transferring any data
  • Informing us of any regulatory requirements specific to your firm that may affect the pilot

6. Intellectual property

All intellectual property in the Veritas system, including algorithms, models, software, and documentation, remains our property. The Shadow Pilot does not grant you a licence to use our technology beyond the scope of the evaluation.

Your data remains your property at all times. We do not claim any ownership or licence over data you share with us.

7. Limitation of liability

The Shadow Pilot is an evaluation tool, not a live compliance service. During the pilot period, your existing compliance processes remain fully responsible for all regulatory decisions.

To the maximum extent permitted by law, our total liability arising from or in connection with the pilot shall not exceed the fees paid by you for the pilot.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any matter which cannot be excluded or limited under English law.

8. Confidentiality

Both parties agree to keep confidential any proprietary or commercially sensitive information shared during the engagement. The terms of the mutual NDA apply in addition to this clause. In the event of conflict, the NDA terms prevail.

9. Termination

Either party may terminate the Shadow Pilot with 7 days' written notice. Upon termination, we will delete all your data within 30 days and provide written confirmation of deletion.

Clauses relating to confidentiality, intellectual property, and limitation of liability survive termination.

10. Website use

The information on this Site is provided for general information purposes. While we make reasonable efforts to keep it accurate, we do not warrant that the Site content is complete, current, or error-free.

You may not use the Site for any unlawful purpose, attempt to gain unauthorised access to our systems, or use automated tools to scrape or extract content.

11. Changes to these terms

We may update these Terms from time to time. The "Last updated" date at the top of this page indicates the most recent revision. Continued use of the Site after changes constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
